Read this before the numbers
On a Form D the filer picks its own category, and a vehicle built to hold one company ticks “venture capital fund” just as readily as a $400m firm does. Of the 2743 first notices below, about 71% look to us like single-deal SPVs or angel syndicates rather than funds — judged from the vehicle's own name and from the average cheque its investors wrote.
We have not removed them. That judgement is ours, it is sometimes wrong, and a total that quietly depended on it would be worse than one you can argue with. Instead the sizes are banded, so you can see where the syndicates sit and read past them.

What each band actually contains

- Open-ended vehicles that state no target. Common for evergreen and feeder funds; the size is genuinely unknown, not withheld.

- Mostly single-deal SPVs and syndicates rather than funds — one company, a group of angels, a vehicle created to hold it.

- Where solo-GP and first-time micro funds sit, mixed with larger syndicates. The blurriest band.

- Recognisably institutional seed funds — a first or second fund from an established team.

- Established multi-stage firms raising a main fund.

Above this size a vehicle is recognisably an institutional fund rather than a syndicate. The target is what the fund told the SEC it is raising; the sold figure is what it had banked on the day it filed, so a new fund showing nothing sold is normal, not a warning.

How this is built
A Form Dis the notice a US private fund files with the SEC when it starts selling interests. We read EDGAR's daily index, open every Form D, and keep the ones the filer classified as a pooled investment fund of type “venture capital fund”. Nothing here is scraped from a directory or bought from a data vendor — it is the public filing, and every fund links back to its own record.
A fund is counted once. A fund files an amendment each time it closes more money; counting filings would turn one active fundraise into four new funds. Only a first notice counts as a fund starting to raise, and later amendments only update its figures.
This is US-only, and it is a notice rather than a result. Regulation D is a US exemption, so a UK or European fund does not appear here at all. And a Form D says a fund has begun raising, not that it finished — some of these will never reach their target, and the register never says so.
We record the fund, never the people.Every Form D also lists the fund's officers by name with a street address each. We strip that out before anything is read, and there is nowhere in our data for it to go. What we keep is the entity: its name, state, size and dates.
Counts are of filings, not of committed capital: the target is what a fund says it wants, and the industry's eventual number for any quarter will differ from ours. This is general information, not investment advice, and not a recommendation of any fund on it.
